Abstract

[Machine translation] The volume is updated to the indications of the 2020 Corporate Governance Code and systematically delves into the economic profiles of corporate governance. The subject under consideration has undergone a significant evolution, becoming increasingly defined and articulated. Dramatic situations of discontinuity and crisis faced recently by many companies have paradoxically made it possible to understand how it is essential, even for smaller companies, to have governance tools. Topics that until recently could only be studied because they were considered frontier - such as the system of controls in SMEs, the introduction of organizational and risk management models or even the communication of non-financial information and diversity - have become fundamental in recent years for the management of business continuity. Only by evaluating in time what the predictable evolution of your business may be in the future, identifying the relevant risks and the means necessary to deal with them, allows you to manage the difficulties that all business activities inevitably encounter sooner or later, avoiding, or at least reducing, the chances of default. To this end, the volume explores, on the one hand, good practices and behavior models, which constitute reference benchmarks, as they are used by companies capable of systematically pursuing sustainable success and, on the other, the tasks entrusted to those who assume specific governance roles in the company.
