Abstract

[Machine translation] In this collective work, the authors have studied the interferences and the growing importance that corporate law profiles display within crisis law, also following the three corrective decrees that in 2020, 2022 and 2024, have extensively modified the original structure of the code, improving some regulatory structures, but also determining a series of critical issues. Among the topics covered, the responsibility profiles of management and control bodies, the obligations to monitor and prevent the crisis through adequate organizational and programmatic structures, the phenomenon of business groups, the resolution of conflicts of interest, the right to vote and the classification of shareholders, the impact of tax regulations on the crisis, the consequences of European legislation that, especially with the Restructuring Directive 1023/2019, has influenced the evolution of Italian legislation on corporate restructuring, increasing the decision-making powers of directors, but also generating concerns about the imbalance between shareholder rights and governance. The recent Corrective-TER has introduced further changes with the aim of making crisis procedures more efficient, but not removing some interpretative and constitutionality problems.
